Skyworks-Qorvo $22 Billion Merger Clears Final Regulatory Hurdles, Closing Expected October 5

Skyworks has received all necessary regulatory clearances to proceed with its proposed combination with Qorvo, bringing the approximately $22 billion transaction close to completion. The companies now expect the deal to close on or about October 5, 2026, subject to the satisfaction or waiver of the remaining customary closing conditions.

The transaction, first announced on October 28, 2025, will bring together two of the RF semiconductor industry’s largest suppliers to create a U.S.-based company with a broad portfolio spanning RF, analog, mixed-signal and power technologies. The combined business is expected to serve markets ranging from mobile devices to defense and aerospace, automotive, edge IoT and AI data centers.

When the deal was originally announced, Skyworks and Qorvo said the combined company would have approximately $7.7 billion in pro forma annual revenue and $2.1 billion in adjusted EBITDA. The companies said the transaction would create a roughly $5.1 billion mobile business together with a $2.6 billion diversified Broad Markets platform focused on areas including defense and aerospace, edge IoT, AI data centers and automotive applications.

The combination will also bring together significant engineering and intellectual-property resources. Skyworks and Qorvo previously said the combined organization would include approximately 8,000 engineers and technical experts and more than 12,000 issued and pending patents, giving the company a broader technology base for developing increasingly integrated RF, analog and power solutions. 

The deal comes as both companies continue to generate substantial quarterly revenue. Skyworks reported $935 million in revenue for its fiscal third quarter of 2026, ended July 3, with GAAP diluted earnings per share of $0.22 and non-GAAP diluted EPS of $1.08. The company also highlighted continued momentum in Broad Markets, led by automotive and data center applications.

Qorvo, meanwhile, reported $784.8 million in revenue for its fiscal 2027 first quarter, ended June 27, 2026. The company recorded GAAP diluted EPS of $0.96 and non-GAAP diluted EPS of $1.64, while citing double-digit year-over-year revenue growth in defense and aerospace, infrastructure and power. Together, the latest quarterly results illustrate the scale of the businesses being combined, with the two companies generating more than $1.7 billion in quarterly revenue across their most recently reported periods.

Skyworks and Qorvo have also said the combination should strengthen their ability to offer customers more complete and highly integrated solutions while expanding the scale of their engineering and manufacturing operations. The companies previously projected $500 million or more in annual cost synergies within 24 to 36 months after closing, once the businesses are fully integrated.

Under the terms announced in October 2025, Qorvo shareholders will receive $32.50 in cash and 0.960 Skyworks shares for each Qorvo share. Following completion of the transaction, existing Skyworks shareholders are expected to own approximately 63% of the combined company, while Qorvo shareholders will own approximately 37%. Skyworks President and CEO Phil Brace will serve as CEO of the combined company, while Qorvo President and CEO Bob Bruggeworth will join its board of directors.

The expected October closing also represents an acceleration from the timetable announced when the transaction was first unveiled. At that time, the companies said they expected the combination to close in early calendar 2027. With all necessary regulatory clearances now received, Skyworks and Qorvo are targeting completion approximately three months earlier.

Once completed, the transaction will significantly reshape the RF semiconductor landscape by bringing together two companies with major positions across mobile RF front-end products, connectivity, defense and aerospace, automotive and other high-growth wireless markets.
